Brigard Urrutia Advises Actis on JPMorgan Chase Loan for Colombian Highway Concessions

Brigard Urrutia advised Actis in obtaining a JPMorganChase loan to finance part of the acquisition of a portfolio of three strategic highway concessions in Colombia.

This portfolio adds 416 km of key roads for the country's connectivity:
• Unión Vial Río Pamplonita (Pamplona – Cúcuta, 123 km)
• Road to the Sea Development (Autopista al Mar 1, 181 km)
• Union del Sur Road Concessionaire (Rumichaca – Pasto, 112 km)

The transaction is part of the global agreement through which Actis, a leading investor in emerging markets in sustainable infrastructure, will acquire from Sacyr a portfolio of operational toll roads in Colombia, with a total value of US $1.6 billion. This acquisition, made through its Long Life Infrastructure Fund 2 (ALLIF2), marks the launch of Actis' first road concessions platform in Latin America.

The portfolio, comprised of three concessions valid until the mid-2040s, reinforces Colombia's position as an attractive market for international infrastructure investment, supported by a strong regulatory framework and a history of foreign capital participation.

Brigard Urrutia advised on this transaction by three teams:

• The Banking and Financial Services area, led by partners Sebastián Lora and Maria Fernanda Diago, together with associates Juan Sebastián Mejía González and Jordi Enrique Buitrago-Soetendal, who accompanied the acquisition of the concessions and advised on the financing granted by JP Morgan Chase.

• The M&A area, led by the Sergio Michelsen partner and the Angela Garcia Paez director and associates Natalia Castiblanco Carranza and Manuela Rivas.
