Significant Accomplishments
Serving as counsel in litigation obtaining a preliminary injunction against the Secretary of the United States Department of Health and Human Services to provide adequate due process for a physician prior to revoking Medicare billing privileges
Advising health care clients regarding contractual matters, health care laws and regulations, corporate governance, and mergers and acquisitions
Drafting, analyzing and advising clients regarding commercial transactional documents and agreements, including indemnification agreements, purchase agreements, development agreements, confidentiality agreements, services agreements, employment contracts, publicity releases and waivers, sponsorship agreements, and distribution agreements
Representing businesses and individuals in commercial transactions involving the creation, dissolution, acquisition and merger of business entities
Assisting with due diligence investigations in mergers, acquisitions and other transactions
Preparing corporate governance documents, including articles of incorporation and bylaws for corporations and articles of organization and operating agreements for limited liability companies, as well as preparing minutes, consents and resolutions for corporate or company action
Advising clients on entity selection matters
Representing lenders and borrowers in commercial loan transactions, including drafting and negotiating commercial loan documentation
